Terms of Service

By accessing tellbyte.com or engaging TellByte LLC for any service, you agree to these terms. If you do not agree, please do not use the site or our services.

Use of the site

The content on tellbyte.com is provided for informational purposes. You may not use the site to violate any law, infringe on another party’s rights, or attempt to disrupt or reverse engineer the site or its underlying systems.

Engagements

All paid engagements are governed by a separate written statement of work or services agreement signed by both parties. In case of any conflict, the signed agreement controls.

Intellectual property

All site content, branding, and code (excluding work product delivered to a client under a separate agreement) is the property of TellByte and protected by applicable IP laws.

Hosting, security & deliverables

Where TellByte builds, hosts, or maintains a website, application, or system for you, we take commercially reasonable, industry-standard measures to secure it and the deliverables we provide. However, no software, website, hosting environment, or connected system is ever completely secure, and we do not warrant or guarantee that any service will be uninterrupted, error-free, or immune from vulnerabilities, unauthorized access, malware, or attack. We are not responsible for security incidents, data loss, or downtime that result from causes outside our reasonable control, including the acts or omissions of you, your personnel, your end users, or any third party.

Your responsibilities & assumption of risk

You are responsible for: keeping your account credentials, passwords, API keys, and access tokens confidential; the content, data, and materials you provide or publish; the third-party services, plugins, integrations, domains, and infrastructure you ask us to use or that you manage yourself; keeping any software, accounts, or systems under your control updated and secured; and using the services lawfully. Certain configurations, integrations, custom requests, or third-party components are provided or implemented at your own risk where they fall outside the measures we recommend. You agree to notify us promptly of any suspected security issue so we can respond.

No warranty

The site, our services, and all deliverables are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that the services will be secure, uninterrupted, or error-free, to the fullest extent permitted by law.

Limitation of liability

To the fullest extent permitted by law, TellByte will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business interruption, or for any security incident, breach, or downtime, arising out of or relating to the site or our services — even if we have been advised of the possibility of such damages. Our total aggregate liability for any claim will not exceed the total fees you paid to TellByte for the specific service giving rise to the claim during the twelve (12) months before the event that gave rise to the claim.

Indemnification

You agree to defend, indemnify, and hold harmless TellByte LLC and its members, employees, and contractors from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: your content or data; your use of the site or services; your violation of these terms or any law; or any security issue, breach, or harm caused by you, your personnel, your end users, or a third party acting on your behalf or through systems or credentials under your control.

Third-party services

Our services may rely on or integrate third-party providers, such as hosting and infrastructure, payment processing, email delivery, and analytics. We are not responsible for the availability, performance, acts, omissions, or security of any third-party service, and your use of those services may be subject to their own terms.

Governing law & disputes

These terms are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these terms or our services will be brought exclusively in the state or federal courts located in Georgia, and you consent to the personal jurisdiction of those courts.
